Since 6 April 2008, private limited companies have not been obliged to appoint a company secretary unless the company's articles contain a reference to the company having a secretary. It is the directors ultimate responsibility to ensure that the annual return and annual accounts are filed with Companies House by the due date, and to inform them of changes to the accounting year, changes to directors or company secretary. Failure to do so will result in fines being applied.
